Terms of Service

1. Acceptance

By registering for or using Skoreboard (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Skoreboard is a cloud-based staff performance tracking platform for hospitality and service businesses. It enables administrators to assign tasks, track staff task completions, generate performance scores, and manage team scheduling. The Service is provided "as is" subject to the limitations in Section 10.

3. Accounts & Registration

  • You must provide accurate, current, and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must be at least 18 years old, or of legal age to form a binding contract in your jurisdiction, to use the Service.
  • You are responsible for all activity under your account, including actions by staff members you invite.

4. Free Trial

Eligible plans include a free trial period (displayed at signup). At the end of the trial, your subscription will automatically convert to a paid subscription at the plan rate unless you cancel before the trial ends. No credit card is required to start a trial; a valid payment method must be on file before the trial expires to continue service.

5. Billing & Subscription

  • Subscriptions are billed monthly or annually in advance depending on your selected billing cycle.
  • Subscription fees are non-refundable except as stated in our Refund Policy.
  • We may change subscription prices with 30 days' written notice to your account email.
  • Add-on modules (SkorVault, SkorCover) are billed separately and governed by the same terms.
  • Late or failed payments may result in service suspension after notice.

6. Cancellation

You may cancel your subscription at any time through the billing portal in your account settings. Cancellation takes effect at the end of the current billing period — you retain access to the Service until that date. We do not provide prorated refunds for mid-cycle cancellations unless required by applicable law.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation, including employment laws in your jurisdiction.
  • Harass, discriminate against, or unlawfully monitor staff members.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Upload malware, viruses, or other harmful code.
  • Scrape, crawl, or systematically extract data from the Service without written permission.
  • Resell or sublicense the Service without our prior written consent.

8. Staff Monitoring Acknowledgment

Account administrators are responsible for ensuring that their use of Skoreboard's performance tracking features complies with applicable employment laws in their jurisdiction, including any requirements to disclose monitoring to employees. Skoreboard does not provide legal advice. Consult qualified legal counsel if you are unsure about your obligations.

9. Intellectual Property

All rights, title, and interest in the Service — including software, design, trademarks, and content — are owned by Skor Systems. You are granted a limited, non-exclusive, non-transferable license to access and use the Service during your subscription period. Your account data (tasks, scores, staff records) remains your property.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKOR SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Skor Systems and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

13. Termination

We reserve the right to suspend or terminate your account immediately, with or without notice, if we reasonably believe you have violated these Terms or if continued access would harm the Service or other users. Upon termination, your right to use the Service ceases and your data will be retained or deleted per our Privacy Policy.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in San Francisco County, California. You waive any objection to personal jurisdiction or venue in those courts.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you by email or by posting a notice in the platform at least 30 days before material changes take effect. Continued use after the effective date constitutes acceptance.
